Overview

Welcome to Warming Systems Hydronic. Warming Systems Hydronic is a division of Warming Systems Inc. The terms "Warming Systems Hydronic," "Company," "we," "us," and "our" refer to Warming Systems Inc., operating through its Warming Systems Hydronics division.

We operate this online store and website, including all related information, content, features, tools, products, and services, to provide customers with access to hydronic heating equipment and related products and services. These offerings are collectively referred to as the "Services."

Our online store is powered by Shopify, which enables us to provide the Services to you.

These Terms of Service, together with any policies referenced in them, describe your rights and responsibilities when you visit, interact with, or use the Services.

Please read these Terms of Service carefully. They contain important information concerning your legal rights, product selection responsibilities, shipping and freight delivery requirements, warranty limitations, disclaimers, and limitations of liability.

By accessing or using the Services or placing an order, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these Terms of Service or our Privacy Policy, you should not access or use the Services.

Section 1 - Access and Accounts

By agreeing to these Terms of Service, you represent that you are at least the age of majority in your state, province, or territory of residence. If you permit a minor dependent to use the Services through a device or account that you own or manage, you accept responsibility for that use.

To access certain features or purchase products, you may be asked to provide information such as your name, email address, telephone number, billing address, shipping address, and payment information.

You represent and warrant that all information you provide is accurate, current, complete, and authorized for your use.

You are responsible for maintaining the confidentiality and security of your account credentials and for all activity that occurs through your account. You may not sell, transfer, assign, or license your account to another person without our prior written approval.

Section 2 - Our Products

Warming Systems Hydronics sells hydronic heating equipment and related products, which may include assembled hydronic panels, manifolds, boilers, pumps, controls, thermostats, PEX tubing, fittings, accessories, replacement parts, and other components.

We make reasonable efforts to provide accurate product descriptions, specifications, dimensions, photographs, diagrams, and other product information. However, product appearance, colors, packaging, finishes, and other visual characteristics may vary from how they appear on your screen or in marketing materials.

Product photographs and illustrations are provided for general reference. Minor differences in appearance, labeling, packaging, component positioning, or manufacturer updates do not necessarily indicate that a product is defective or materially different from the product ordered.

Product descriptions, specifications, availability, pricing, and included components may be updated or corrected without prior notice. We reserve the right to discontinue products, limit quantities, or restrict sales to particular persons, geographic areas, markets, or jurisdictions.

We do not guarantee that every product will remain available after it is displayed on the website or added to your cart.

Section 3 - Product Selection, System Design, and Installation

Warming Systems Hydronics sells equipment and provides general product information and guidance. We do not provide installation services unless expressly agreed to in a separate written agreement.

Any product recommendations, panel configuration suggestions, drawing reviews, technical discussions, diagrams, calculations, or other guidance provided by Warming Systems Hydronics are for general informational and product-selection purposes only. They are not a substitute for professional engineering, architectural, mechanical, plumbing, electrical, or code-compliance services.

The customer, property owner, contractor, installer, designer, or other responsible professional is solely responsible for:

  • Selecting the proper number and type of heating zones
  • Completing or obtaining an accurate heat-loss calculation
  • Selecting and sizing boilers, pumps, circulators, controls, manifolds, piping, and other components
  • Confirming that all products and components are compatible with one another and appropriate for the intended application
  • Confirming voltage, fuel type, flow rate, temperature, pressure, capacity, connection size, and other technical requirements
  • Reviewing and approving the final panel configuration and product selections before purchase
  • Complying with applicable building, plumbing, mechanical, electrical, fire, energy, and safety codes
  • Obtaining all required permits, approvals, inspections, and professional certifications
  • Following all manufacturer instructions, safety requirements, and warranty conditions
  • Using appropriately licensed and qualified professionals when required by law or appropriate for the project

Reviewing a customer-provided drawing or recommending a panel configuration does not mean that Warming Systems Hydronics has independently verified the dimensions, heat-loss requirements, building conditions, project specifications, code requirements, or suitability of the complete system.

The customer must review all order details, drawings, configurations, product specifications, and component selections before approving or submitting an order.

Warming Systems Hydronics is not responsible for installation errors, improper system design, inaccurate information provided by the customer, incompatible third-party equipment, improper maintenance, code violations, or the failure to obtain required permits or inspections.

Section 4 - Orders

Submitting an order constitutes an offer to purchase products from Warming Systems Hydronics. We reserve the right to accept, decline, limit, or cancel an order for any lawful reason.

An automated order confirmation acknowledges that we received your order. It does not necessarily constitute final acceptance of the order. An order is accepted after we review it, receive and process payment, and confirm that the products can be supplied.

We may contact you to verify product selections, shipping information, freight requirements, technical details, payment information, or other order details before accepting or processing an order.

If we decline, modify, or cancel an order, we will attempt to notify you using the email address, billing address, shipping address, or telephone number provided with the order.

Please review your order carefully before submitting it. You are responsible for confirming product models, sizes, quantities, voltage, fuel type, zone configuration, manifold size, connection requirements, shipping address, and other order details.

Section 5 - Made-to-Order and Customer-Configured Products

Assembled hydronic panels and certain other products are made to order or assembled according to the customer's selected configuration. These products may require special-order components, dedicated labor, testing, packaging, and freight preparation.

Made-to-order and customer-configured products may be cancelled before shipment by contacting Warming Systems Hydronics as soon as possible. Cancellation requests are subject to review based on the order's production status.

Although we do not charge a standard restocking fee, Warming Systems Hydronics reserves the right to deduct reasonable, nonrecoverable costs associated with special-order components, materials, completed assembly work, testing, packaging, or other custom work performed before cancellation.

After shipment, made-to-order, specially ordered, modified, assembled, or customer-configured products are not returnable except when they are defective, damaged during shipment, incorrectly assembled, sent in error, or materially different from the approved order specifications.

Any requested change to an order after assembly or processing has begun may affect the order price, production schedule, and estimated shipping date. Changes are not effective unless accepted by Warming Systems Hydronics in writing.

Section 6 - Customer and Contractor Purchases

Products may be purchased by homeowners, property owners, contractors, builders, remodelers, installers, and commercial customers for use in their own properties or for incorporation into a specific customer project.

Products may not be purchased for unauthorized commercial resale. Without prior written authorization from Warming Systems Hydronics, you may not resell our products as standalone merchandise through:

  • Retail stores
  • Online marketplaces
  • Third-party ecommerce websites
  • Wholesale or distribution channels
  • Dealer or reseller programs
  • Export or resale arrangements

This restriction does not prevent a contractor, builder, or installer from purchasing products for incorporation into a specific installation or customer project.

We reserve the right to refuse or cancel orders that we reasonably believe are intended for unauthorized resale, distribution, marketplace listing, or export.

Section 7 - Prices, Payment, and Billing

Prices, promotions, discounts, and product availability are subject to change without notice. The price charged will generally be the price displayed when the order is submitted, subject to correction of errors or inaccuracies.

Unless expressly stated otherwise, displayed prices do not include shipping, freight, liftgate service, delivery appointments, residential delivery charges, taxes, customs duties, import charges, brokerage fees, or other applicable charges.

Prices displayed online may differ from prices offered through quotations, physical locations, telephone orders, third-party sales channels, or previously issued proposals.

Promotions may be subject to separate conditions, exclusions, expiration dates, quantity restrictions, or product restrictions. If promotional terms conflict with these Terms, the specific promotional terms will control for that promotion.

You agree to provide current, complete, and accurate billing, payment, shipping, and account information for every purchase.

You represent and warrant that:

  • You are authorized to use the payment method provided
  • The payment information is accurate and complete
  • Charges submitted through the payment method will be honored
  • You will pay the product price and all applicable shipping, freight, taxes, duties, and other charges

We may delay or cancel an order when payment cannot be authorized, payment information appears inaccurate, or additional verification is required.

Section 8 - Taxes, Customs, and Canadian Orders

Warming Systems Hydronics sells and ships products within the United States and Canada, subject to product availability, shipping limitations, legal restrictions, and carrier service availability.

Customers are responsible for all sales, use, excise, import, customs, and other taxes associated with an order unless those charges are collected by Warming Systems Hydronics at checkout or are otherwise expressly included in the order.

Canadian customers are responsible for applicable customs duties, import taxes, GST/HST, provincial taxes, brokerage charges, carrier fees, customs-clearance charges, and other amounts assessed during importation unless expressly stated otherwise in writing.

Canadian customers are also responsible for providing accurate customs information and cooperating with the carrier or customs authority to complete clearance.

Delays caused by customs review, incomplete information, unpaid import charges, or a customer's failure to cooperate with the carrier are outside the control of Warming Systems Hydronics.

Section 9 - Shipping and Delivery

Shipping and delivery dates are estimates only and are not guaranteed. Manufacturing schedules, product availability, special-order components, weather, carrier delays, customs processing, labor disruptions, supply interruptions, and other circumstances may affect delivery.

Manifolds, smaller components, and standard parcel shipments may be delivered through UPS, FedEx, or another parcel carrier.

Assembled hydronic panels are generally secured to a pallet and shipped by freight. Boilers may be shipped by parcel carrier or freight depending on their size, weight, packaging, destination, and carrier requirements.

Freight delivery is generally curbside unless a different service is expressly included in the order or confirmed in writing.

The customer is responsible for:

  • Providing an accurate and accessible delivery address
  • Identifying whether the destination is residential or commercial
  • Requesting liftgate service when needed
  • Communicating with the freight carrier to arrange or confirm a delivery appointment
  • Ensuring that an authorized person is available to receive the shipment
  • Providing sufficient personnel and appropriate equipment to move the shipment from the delivery point
  • Having a pallet jack, dolly, cart, forklift, or other suitable equipment available when appropriate
  • Ensuring that the delivery location is safe and accessible for the carrier

A liftgate assists in lowering freight from the truck to ground level. It does not include moving the shipment into a residence, commercial building, garage, mechanical room, jobsite, or other interior location.

Additional carrier charges resulting from inaccurate address information, missed appointments, redelivery, storage, limited access, residential delivery, liftgate service, inside delivery, address correction, or refusal of an undamaged shipment may be charged to the customer.

Unless otherwise stated in a written order confirmation or shipping agreement, title and risk of loss will pass as provided by applicable law. Nothing in these Terms limits your rights concerning products that are damaged, defective, incorrectly supplied, or otherwise nonconforming.

Section 10 - Freight Inspection and Shipping Damage

You must inspect freight shipments and their packaging before signing the carrier's delivery receipt whenever reasonably possible.

If visible damage is present:

  • Photograph the pallet, packaging, labels, and damaged areas
  • Describe the damage on the carrier's delivery receipt before signing
  • Retain a copy of the delivery receipt
  • Refuse severely damaged freight when appropriate
  • Contact Warming Systems Hydronics promptly

Signing a delivery receipt without noting visible damage may affect our ability to submit or support a freight claim.

Concealed damage, missing parts, incorrect items, or other delivery issues should be reported as soon as reasonably possible. You may be asked to provide photographs, packaging, serial numbers, shipping labels, order information, and other documentation necessary to evaluate the issue or submit a carrier or manufacturer claim.

Do not discard the product, pallet, packaging, labels, or damaged materials until Warming Systems Hydronics or the carrier confirms that they are no longer needed.

Section 11 - Returns and Refunds

Returns, cancellations, refunds, exchanges, nonreturnable products, and freight returns are governed by our Return and Refund Policy, which is incorporated into these Terms by reference.

Eligible standard products may generally be returned within 30 days after receipt when they are unused, uninstalled, in their original condition, and in their original packaging.

Made-to-order and customer-configured products are subject to the special restrictions described in these Terms and our Return and Refund Policy.

Items sent back without prior return authorization may not be accepted.

Unless the return results from our error, confirmed shipping damage, incorrect assembly, or a confirmed defect, the customer is responsible for return shipping and related transportation costs.

Original shipping, freight, liftgate, residential delivery, expedited delivery, customs, brokerage, duties, and import charges are generally nonrefundable.

Section 12 - Manufacturer Warranties

Products and individual components sold by Warming Systems Hydronics may be covered by warranties provided by their respective manufacturers.

Unless Warming Systems Hydronics expressly provides a separate written warranty, products are subject only to the applicable manufacturer's written warranty, if any.

Manufacturer warranty claims are subject to the manufacturer's terms, exclusions, claim procedures, proof-of-purchase requirements, installation requirements, maintenance requirements, and other conditions.

Warming Systems Hydronics may assist customers with identifying the applicable manufacturer or submitting available documentation, but we do not control the manufacturer's review, decision, repair, replacement, reimbursement, or processing timeline.

Unless expressly included in the applicable written warranty, manufacturer warranty coverage generally does not include:

  • Installation labor
  • Troubleshooting or diagnostic labor
  • Removal or disconnection
  • Reinstallation or reconnection
  • Travel or service-call charges
  • Shipping or freight charges
  • System downtime or loss of use
  • Damage caused by improper installation, sizing, wiring, piping, maintenance, operation, or storage
  • Damage to surrounding property or other equipment
  • Incidental, indirect, or consequential costs

Customers are responsible for retaining order records, model information, serial numbers, installation records, and other documentation that may be required for a warranty claim.

Nothing in these Terms limits any warranty or consumer right that cannot legally be waived or excluded.

Section 13 - Intellectual Property

The Services and their content, including trademarks, trade names, logos, product names, text, photographs, graphics, diagrams, videos, audio, reviews, page layouts, website design, and arrangement of content, are owned by Warming Systems Inc., its affiliates, manufacturers, suppliers, or licensors and are protected by applicable intellectual property laws.

These Terms permit you to use the Services for lawful personal or internal business purchasing purposes only.

You may not reproduce, distribute, modify, create derivative works from, publicly display, republish, download, store, transmit, scrape, or commercially exploit any material from the Services without prior written permission, except as allowed by applicable law.

Warming Systems Hydronics names, logos, product names, designs, and slogans are trademarks or trade dress of Warming Systems Inc. or its licensors. You may not use them without prior written permission.

Shopify's names, logos, products, and services are trademarks of Shopify. All other names, trademarks, logos, and product names displayed through the Services belong to their respective owners.

Section 14 - Optional and Third-Party Tools

We may provide access to tools, calculators, financing services, payment services, shipping tools, product selectors, software, or other features supplied by third parties.

We do not necessarily monitor, control, or endorse these third-party tools. Access is provided on an "as is" and "as available" basis without warranties or conditions of any kind.

Your use of third-party tools is at your own risk and is also subject to the third party's terms, privacy policy, fees, limitations, and operating requirements.

We may introduce, modify, suspend, or discontinue tools and features at any time. New tools and features made available through the Services are also subject to these Terms.

Section 15 - Third-Party Links

The Services may contain links to websites, documents, warranty materials, manuals, tools, products, or services operated by manufacturers or other third parties.

We are not responsible for evaluating or guaranteeing the accuracy, availability, security, legality, quality, or practices of third-party websites or materials.

If you access a third-party website or purchase a third-party product or service, you do so at your own risk. You should review the third party's terms, warranty, privacy policy, return policy, and other applicable conditions before proceeding.

Questions or claims concerning a third party's services or content should generally be directed to that third party.

Section 16 - Relationship With Shopify

Warming Systems Hydronics is powered by Shopify, which provides technology that enables us to offer the Services.

Sales and purchases made through our Store are transactions directly between you and Warming Systems Inc., operating through its Warming Systems Hydronics division.

Shopify is not the seller of the products offered by Warming Systems Hydronics and is not responsible for product selection, system design, order fulfillment, installation, warranties, injury, damage, loss, or disputes resulting from products purchased from us.

To the fullest extent permitted by law, you release Shopify and its affiliates from claims arising directly from your purchase or use of products sold by Warming Systems Hydronics.

Section 17 - Privacy

Personal information collected through the Services is subject to our Privacy Policy.

Certain personal information may also be processed by Shopify in accordance with Shopify's applicable privacy practices. Shopify's privacy information for users of merchant stores can be viewed at Shopify's Privacy Policy.

Because the Services are hosted by Shopify, information you provide may be transmitted to Shopify and other service providers that assist with payment processing, order fulfillment, shipping, analytics, customer service, fraud prevention, and operation of the Store.

Section 18 - Feedback and Reviews

If you submit reviews, photographs, ideas, suggestions, feedback, proposals, drawings, comments, or other content to us, collectively referred to as "Feedback," you grant Warming Systems Inc. a nonexclusive, perpetual, worldwide, sublicensable, royalty-free license to use, reproduce, modify, publish, distribute, display, and otherwise use that Feedback for operating, improving, and promoting the Services.

You represent and warrant that:

  • You own or have permission to submit the Feedback
  • The Feedback is accurate to the best of your knowledge
  • You have disclosed any compensation or incentive associated with the Feedback
  • The Feedback does not violate any law or third-party right

We have no obligation to keep Feedback confidential, pay compensation for it, or respond to it.

We may monitor, edit, decline to publish, or remove Feedback that we determine is unlawful, misleading, abusive, defamatory, obscene, infringing, fraudulent, unrelated, or otherwise inappropriate.

You may not use a false identity, impersonate another person, or misrepresent the source of Feedback.

Section 19 - Errors, Inaccuracies, and Omissions

Information available through the Services may occasionally contain typographical errors, inaccuracies, or omissions relating to product descriptions, specifications, compatibility, pricing, discounts, promotions, shipping charges, transit times, availability, or other matters.

We reserve the right to correct errors, update information, modify an order, or cancel an order when information is inaccurate, including after an order has been submitted.

If we cancel an order because of an error, we will refund amounts paid for the cancelled portion of the order.

Section 20 - Prohibited Uses

You may access and use the Services only for lawful purposes. You may not use the Services, directly or indirectly:

  • For an unlawful, fraudulent, deceptive, or malicious purpose
  • To violate any federal, state, provincial, territorial, local, or international law
  • To violate intellectual property, privacy, publicity, contractual, or other rights
  • To harass, threaten, abuse, defame, intimidate, or harm another person
  • To transmit false, deceptive, or misleading information
  • To impersonate another person or entity
  • To distribute spam, junk mail, chain letters, or unauthorized solicitations
  • To introduce viruses, malware, harmful code, or disruptive technology
  • To collect or track personal information without authorization
  • To scrape, crawl, extract, copy, or reproduce website content without authorization
  • To bypass security, access restrictions, fraud controls, or robot exclusion measures
  • To interfere with the operation or security of the Services
  • To purchase products for unauthorized resale or distribution

We reserve the right to suspend or terminate access to the Services when we reasonably believe these Terms have been violated.

Section 21 - Automated Agents

This section applies if you use or allow an automated or semi-automated software agent to access or interact with the Services.

An "Agent" means software or a service that takes autonomous or semi-autonomous action on behalf of a person or organization without direct human supervision during each interaction.

An Agent may not access or interact with the Services when we have requested that it stop or when technical controls prohibit or restrict that access.

Agents must accurately identify themselves, must not disguise automated access as human activity, and must not bypass CAPTCHAs, security controls, rate limits, access restrictions, or other measures intended to control automated activity.

We may restrict or block automated access at any time.

Section 22 - Termination

We may suspend or terminate your access to the Services, cancel an account, or decline future transactions when permitted by law, including when we reasonably believe that you have violated these Terms, engaged in fraud, misused the Services, or created a security or legal risk.

You remain responsible for all amounts owed through the date of termination.

Provisions that by their nature should survive termination will remain effective, including provisions concerning intellectual property, payment obligations, warranties, disclaimers, limitations of liability, indemnification, governing law, and dispute resolution.

Section 23 - Disclaimer of Warranties

The information presented through the Services is provided for general product and purchasing purposes. We do not guarantee that all website information will be complete, error-free, current, or suitable for every project.

Reliance on website content, technical discussions, drawing reviews, product recommendations, diagrams, or general guidance is at your own risk. The customer and the responsible qualified professional must independently confirm product suitability, system design, installation requirements, and code compliance.

Except for any express written warranty that applies to a specific product, and to the fullest extent permitted by law, the Services and products are provided "as is" and "as available" without additional representations, warranties, or conditions, whether express or implied.

To the fullest extent permitted by law, we disclaim implied warranties or conditions of merchantability, fitness for a particular purpose, durability, title, and noninfringement.

We do not guarantee that access to the Services will be uninterrupted, secure, timely, or error-free.

Some jurisdictions do not permit the exclusion or limitation of certain warranties. In those jurisdictions, the exclusions in this section apply only to the extent permitted by law. Nothing in these Terms excludes a right or remedy that cannot legally be waived.

Section 24 - Limitation of Liability

To the fullest extent permitted by law, Warming Systems Inc., Warming Systems Hydronics, Shopify, and their respective affiliates, officers, directors, employees, agents, contractors, licensors, manufacturers, suppliers, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages.

This limitation includes, without limitation, loss of profits, revenue, savings, business opportunity, data, use, productivity, goodwill, system operation, or replacement costs arising from:

  • Your use of or inability to use the Services
  • The purchase, selection, installation, use, or performance of a product
  • Improper system design, sizing, compatibility, installation, operation, or maintenance
  • Delays in production, shipping, delivery, installation, repair, or warranty processing
  • Errors or omissions in website content or customer-provided information
  • Damage to surrounding property, equipment, or systems

To the fullest extent permitted by law, the total liability of Warming Systems Inc. and Warming Systems Hydronics for a claim relating to a product or order will not exceed the amount actually paid to Warming Systems Hydronics for the specific product giving rise to the claim.

These limitations apply regardless of whether a claim is based in contract, warranty, negligence, tort, strict liability, statute, or another legal theory and regardless of whether we were advised that damages were possible.

These limitations do not apply to liability that cannot legally be excluded or limited.

Section 25 - Indemnification

To the extent permitted by law, you agree to indemnify, defend, and hold harmless Warming Systems Inc., Warming Systems Hydronics, Shopify, and their respective affiliates, officers, directors, employees, agents, contractors, licensors, and service providers from third-party claims, losses, damages, liabilities, and reasonable attorneys' fees arising from:

  • Your material breach of these Terms
  • Your violation of applicable law or a third party's rights
  • Your misuse of the Services
  • Your unauthorized resale or distribution of products
  • Information, drawings, specifications, or instructions supplied by you that are inaccurate or incomplete
  • Your installation, modification, operation, or use of products in a manner inconsistent with applicable instructions, codes, or professional requirements

We will provide reasonable notice of an indemnifiable claim. Failure to provide prompt notice will not relieve your obligations unless the delay materially prejudices your ability to respond.

We may control the defense and settlement of the claim at your expense, but we will not agree to a settlement that imposes a nonmonetary obligation on you without your reasonable consent.

Section 26 - Severability

If any provision of these Terms is determined to be unlawful, invalid, void, or unenforceable, that provision will be enforced to the fullest extent permitted by law or severed to the minimum extent necessary.

The remaining provisions will continue in full force and effect.

Section 27 - Waiver and Entire Agreement

Our failure to exercise or enforce a right or provision of these Terms does not constitute a waiver of that right or provision.

These Terms, together with the policies and written terms incorporated by reference, constitute the entire agreement between you and Warming Systems Hydronics concerning your use of the Services and purchases through the Store.

These Terms supersede prior or contemporaneous communications, proposals, representations, and agreements concerning the same subject matter, whether oral or written, except for a separate written agreement signed by an authorized representative of Warming Systems Inc.

Section 28 - Assignment

You may not assign, transfer, or delegate these Terms or your rights and obligations under them without our prior written consent.

We may assign, transfer, or delegate these Terms and our rights and obligations in connection with a merger, acquisition, sale, reorganization, transfer of assets, or other lawful business transaction.

Section 29 - Governing Law and Venue

These Terms and any separate agreement through which we provide products or Services will be governed by the laws of the State of Illinois, without regard to conflict-of-law principles, except where applicable law requires otherwise.

To the extent permitted by law, any legal action arising from these Terms, the Services, or a purchase from Warming Systems Hydronics must be brought in an appropriate state court located in McHenry County, Illinois, or in a federal court with jurisdiction in the Northern District of Illinois.

You and Warming Systems Inc. consent to the personal jurisdiction and venue of those courts.

Nothing in this section limits any nonwaivable consumer right or jurisdictional protection provided by applicable United States, Canadian federal, provincial, or territorial law.

Section 30 - Headings

Section headings are included for convenience only and do not limit or otherwise affect the interpretation of these Terms.

Section 31 - Changes to These Terms

You may review the current version of these Terms at any time on this page.

We reserve the right to update, revise, or replace these Terms by posting the updated version to the website.

When required by applicable law, we will provide notice of material changes. Changes will become effective on the date stated in the updated Terms or notice.

Your continued use of the Services after an updated version becomes effective constitutes acceptance of the updated Terms, to the extent permitted by law.

Section 32 - Contact Information
